These Terms of Service ("Terms") govern your access to and use of the services provided by Tideline Technologies LLC ("Tideline," "we," "our," or "us"), including Tideline PAY and Tideline Marinas (collectively, the "Services"). By signing up for or using the Services, you agree to be bound by these Terms.
If you are using the Services on behalf of a business, you represent that you have authority to bind that business to these Terms.
Tideline PAY enables service businesses to send secure payment request links to their customers via SMS. Payments are processed through Stripe. Tideline PAY is a transactional messaging service; it is not a payment processor and does not handle, hold, or transfer funds.
Tideline Marinas provides customer care and operational messaging services for marinas and boatyards, including after-hours intake, service request handling, FAQ responses, and scheduling notifications. Tideline Marinas is configured on a per-customer basis during onboarding.
You must be at least 18 years old and a legal resident or entity in the United States to use our Services. By registering, you represent that all information you provide is accurate and current. You are responsible for maintaining the security of your account credentials.
By using our Services, you agree to the following messaging terms:
You are solely responsible for ensuring that your use of the Services complies with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, CTIA guidelines, and any other applicable federal, state, or local laws and regulations governing electronic communications.
You agree not to use the Services to:
We reserve the right to suspend or terminate your account immediately if we determine you are violating these Terms or applicable law.
Tideline PAY is offered on a monthly subscription basis. Fees are charged through Stripe at the rate displayed at the time of signup. Subscriptions renew automatically each month unless cancelled.
You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial months.
Tideline Marinas pricing is determined during onboarding based on volume and features. Pricing terms will be confirmed in a separate agreement or order form.
We reserve the right to change pricing with reasonable advance notice to active subscribers.
Tideline PAY integrates with Stripe Connect to route payment links to your Stripe account. By connecting your Stripe account, you agree to Stripe's Connected Account Agreement and Stripe's Terms of Service, available at stripe.com/legal. Tideline Technologies is not a party to transactions between you and your customers and is not responsible for payment disputes, chargebacks, or Stripe account issues.
The Services, including all software, content, branding, and documentation, are owned by Tideline Technologies LLC and protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes. You may not copy, modify, distribute, or create derivative works from our Services without written permission.
We handle your data in accordance with our Privacy Policy, which is incorporated into these Terms by reference. You retain ownership of your business data. You grant us a limited license to use your data as necessary to provide the Services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE FULLEST EXTENT PERMITTED BY LAW, TIDELINE TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Tideline Technologies LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any applicable law or the rights of any third party.
Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, your right to use the Services ceases immediately. Sections 7–11 survive termination.
These Terms are governed by the laws of the State of Florida, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Connecticut, and you consent to the jurisdiction of such courts.
We may update these Terms from time to time. We will notify active subscribers of material changes via email. Continued use of the Services after changes constitutes acceptance of the updated Terms.
